Quotation & Work Terms & Conditions
Pro Fuse Electrical Pty Ltd ACN 673 172 024 (Pro Fuse Electrical) has agreed to carry out the work the subject of this quotation (Work) for the Customer at the price (plus GST) set out in this quotation (Agreement). The Customer will provide Pro Fuse Electrical with all necessary access to its premises to allow Pro Fuse Electrical to carry out the Work.
The Customer agrees that these terms and conditions apply to the Work and any subsequent supply by Pro Fuse Electrical of goods and/or services to the Customer.
The Customer must pay issued tax invoices without deduction or set-off within 7 days of receipt. Interest will accrue on tax invoices (if unpaid) at the rate of 5% per annum. Any debt collection costs incurred by Pro Fuse Electrical in pursuing monies owed by the Customer to Pro Fuse Electrical, will be payable by the Customer to Pro Fuse Electrical on demand.
Risk in any goods provided as part of the Work passes to the Customer on delivery. Title in these goods passes from Pro Fuse Electrical to the Customer upon full payment of issued tax invoices.
The Customer acknowledges that it must service the goods provided in connection with the Work in accordance with the manufacturers’ instructions. Any failure to do so may result in the loss by the Customer of the relevant manufacturer’s warranty.
Neither Pro Fuse Electrical or the Customer will have any liability to the other for any indirect loss, loss of profits or any consequential loss of any nature whatsoever, in relation to any claim associated or connected with the Work, including but not limited to, as a result of a claim for breach of contract, breach of statutory duty or negligence.
Subject to clause 6, Pro Fuse Electrical’s liability to the Customer for any claim or claims (individually and cumulatively) of any nature whatsoever associated or connected with the Work, including but not limited to, as a result of a claim for breach of contract, breach of statutory duty or negligence, is limited to the total price of issued tax invoices for the Work.
Pro Fuse Electrical may terminate this Agreement by seven (7) days’ notice in writing to the Customer.
The Customer charges all of its personal property for the benefit of Pro Fuse Electrical, as security for its obligations under these terms and conditions. Pro Fuse Electrical may at any time register this security interest granted to it on the Personal Property Securities Register.
If the Customer is a “consumer” under the Australian Consumer Law (ACL Customer), clause 11 below applies to the Work.
Pro Fuse Electrical’s goods and services supplied to an ACL Customer come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, the ACL Customer is entitled:
a. to cancel its contract with Pro Fuse Electrical; and
b. to a refund for the unused portion, or to compensation for its reduced value.The ACL Customer is also entitled to choose a refund or replacement for major failures with goods. If a failure with the goods or a service does not amount to a major failure, the ACL Customer is entitled to have the failure rectified in a reasonable time. If this is not done the ACL Customer is entitled to a refund for the goods and to cancel the contract for the service and obtain a refund of any unused portion. The ACL Customer is also entitled to be compensated for any other reasonably foreseeable loss or damage from a failure in the goods or service.
Pro Fuse Electrical, at its absolute discretion, may require the Customer to pay for the goods upon acceptance of this quotation prior to commencing the Work. In these circumstances, following payment for the goods:
a. upon completion of the Work risk will pass to the Customer however title in the goods will pass from Pro Fuse Electrical to the Customer upon full payment of issued tax invoices; or
b. if this Agreement is terminated prior to the goods being delivered to the Customer, Pro Fuse Electrical may, at its sole discretion, either:i. deliver the goods to the Customer and at the time of delivery title and risk will pass to the Customer; or ii. refund the Customer any monies paid in relation to the goods.
